Terms & Conditions

PRICES - Except as otherwise noted, all prices are F.O.B. and are subject to such sales, use, or other taxes as may apply. All prices, specifications, and discounts now in effect, or hereinafter issued, are subject to change without notice.

ACCEPTANCE OF ORDERS - All orders are subject to acceptance by an officer of FPF and orders and delivers are subject to FPF regular credit policy - FPF reserves the right to refuse any order based on a quotation containing error. Under any circumstances there are NO oral or phone orders made. Purchase Orders are the policy of FPF, via FAX or Mail system. Purchase Orders will be followed up with a confirmation via FAX only. No Shipments can be made without a Purchase Order. All orders once shipped is subject to a 20% re-stock charge. Custom-made and/or special products ordered by our customers may be subject to a 20% - 50 % non-refundable deposit in advance before orders are made or shipped.

INSURANCE - FPF will lace insurance as nearly as possible in accordance with the written instructions of our customers, bu FPF assumes no liability for the placement of such insurance or as to the ultimate recovery in case of breakage, damage or loss.

ASSEMBLAGE - For packing and shipping convenience it will be necessary to ship in terms unassembled. Reassembly of such POP is the responsibility of the purchaser. If any damages derive out of assembly then purchaser FPF takes no liability for replacement to POP and purchaser will replace at their cost.

CANCELLATION AND RETURNS - Orders for products or parts of special design, size, or materials are not subject to cancellation and any refusal accept delivery of these said products will result in forfeiture of any deposit(s) received by FPF and al freight charges involved will be invoiced to the customer. A RETURN GOODS AUTHORIZATION NUMBER (RGA) must be obtained prior to any products being shipped back to the factory. Our original invoice number and date of shipment is required when requesting an RGA. Written permission must have an RGA number before returning goods for credit or exchange. Products must be prepaid to an address designated by FPF. Credit due to the customer a\can be taken as a deduction against payment of an invoice with the RGA number attached to the payment and invoice. New unused materials of current design accepted by the company for credit is subject to a restocking charge of up to 25% and if any request for return of merchandise after 90 days from date of invoice are subject to a 50% handling charge. We reserve the right to refuse returns after 6 months from the date of invoice..

CHANGE OF DESIGN - FPF expressly reserves the right to change or modify the design and construction of any product, without incurring and obligation or liability to furnish or install such changes. Modifications or improvements or products previously or subsequently sold.

DELIVERY & FREIGHT POLICY - The responsibility of FPF ceases upon delivery to any common or independent carrier. FPF does not insure shipments beyond the point of such delivery to such carrier. All shipments must b inspected at the time of delivery for possible damage honored by SPF unless FPF is notified within 24 hours of delivery. SPF endeavors to ship all material within the times promised, but does not guarantee to do so. No claims for damages or delays on account of FPF failure to deliver or ship will be allowed unless the promised date of delivery is specifically agreed upon and confirmed by FPF in writing. Provided, however, all agreements are subject to delay, caused by strikes, lockouts, accidents, fire or other casualty, acts of God, war insurrection, the elements, shortages or materials or labor in the open market, governmental order or restriction and circumstances beyond the control of FPF. Any Materials for shipment via common or independent carrier that require special packaging beyond the manufacture’s standard packaging will be subject to a crating surcharge.

FREIGHT CHARGES - All shipments are sent freight collect. FPF will include all freight charges in customers invoice.

CREDIT - It is expressly and understood and agreed that all products and merchandise sold and delivered or shipped by FPF to the Customer shall remain the property of FPF and FPF retains a security interest in all Products and merchandise until such time as payment is in full for such products and merchandise is received by FPF, at which time title shall pass to the Customer. In the event of default in payment by the Customer, it is expressly understood and agreed that the Customer agrees that SPF shall have all rights pursuant to the Uniform Commercial Codes, including by not limited to, the right to retake possession by entering upon premises of the Customer of through replevin or other action provided by law for the recovery of possession of all products and merchandise for which payment has not been received by FPF.

  1. Invoices are due within terms indicated on invoice.
  2. Any Purchaser whose invoices are not paid as per items above will be designated as a Past Due Account. Past Due Accounts status can use delivery or shipment to be withheld on any new or outstanding orders.
  3. Any account that remains unpaid for 45 days or more will be automatically placed on C.O.D.
  4. The Purchaser agrees to be responsible for all costs of collection and attorney’s fees incurred by FPF in collecting past due and closed accounts.
  5. All unpaid invoices will carry a service charge of 1 ½% per month ( 18% per annum ) if not paid within terms.
  6. Granting of credit and total amount of credit available shall be determined solely at the discretion of FPF. Until credit is approved all shipments will be C.O.D. All orders must be paid for with cash or cashiers check until a signed application is on file.
  7. All checks returned from bank stamped “Non-Sufficient Funds” will incur a $30.00 charge.
  8. It is desire of FPF to assist any and all accounts with suitable credit terms when applicable and justified. However, discretion as to past due accounts, those over established credit limits, or any other defaulted accounts, does not rest with the Sales and Service Department. All arrangements must be made with the Credit Department or applicable Company management.
  9. All accounts will be automatically charged applicable sales and/or use taxes unless they have on file with the Seller an up-to-date tax-exempt certificate with a valid resale number.
  10. The Seller may change, after or modify the time of payment for merchandise or any agreement for extension of credit or many require partial or full payment for to manufacturing, assembling or shipping any merchandise, notwithstanding any contrary conditions specified in any order, contract or sale. Unless otherwise specifically provided, we will furnish invoices and shipping documents as specified on the purchaser’s order. Any of the terms and provisions on the Purchaser’s order which are in any way inconsistent with our policy shall not be considered applicable to the sale.

General - The above terms and conditions apply to all sales made by Seller and are made subject to each and all of the aforesaid conditions. The placing of an order for, or the use thereof, or delivery of such goods or materials to the Customer shall be an acceptance by the Customer of all said conditions
